Jaya Advisory works with acquirers, sellers, and management teams on M&A transactions of varying scale across Malaysian industries. Our engagements are most useful where there is meaningful commercial complexity — where understanding the business model, the market, or the integration challenge requires dedicated advisory attention beyond what the deal's financial and legal advisors provide.

Financial due diligence focuses on the historical numbers — auditing the accounts, understanding cash flows, and verifying financial representations. Commercial due diligence examines the business itself: the strength and durability of its customer relationships, the quality of its revenue streams, its competitive position, and whether management's projections for the future are commercially credible. Both are important, and our work is designed to complement rather than duplicate the financial advisors' scope.

The scope and timeline are agreed at the outset based on the transaction's requirements. Most commercial due diligence engagements are completed within two to four weeks, though this depends on the complexity of the target business and the information available. We are accustomed to working within the compressed timelines that deals often require and will be direct with clients about what is achievable given the time available.

For commercial due diligence, the most useful point to engage is once you have signed or agreed an exclusivity or letter of intent and are entering the formal diligence phase. For deal structuring, earlier involvement is often valuable — sometimes before heads of terms are finalised. For integration planning, we suggest beginning the planning process before completion where possible, as this allows a smoother start to integration.

Each engagement is priced based on scope and complexity, with indicative fees published for each service. The published prices represent the starting point for a standard engagement. More complex situations may warrant a different arrangement, which we discuss openly at the outset. All our engagements are fixed-fee, so you have clarity on cost before work begins.

Discretion is a fundamental part of how we work. All engagements are covered by a confidentiality agreement as standard. Within the team, information is shared on a need-to-know basis. We understand that transactions are sensitive for all parties involved and take our obligations seriously throughout and after an engagement.
