Acquisition of a component manufacturer — commercial diligence revealed revenue concentration risk
Challenge
An acquirer was in exclusivity on a component manufacturing business. The financial diligence was in progress but the acquirer wanted an independent view on the commercial sustainability of the target's revenue base, which appeared heavily concentrated.
Approach
Jaya Advisory examined customer concentration, the contractual basis of key relationships, the competitive dynamics of the target's market, and the credibility of management's projections for revenue diversification.
Outcome
The assessment identified that the top customer accounted for 61% of revenue on a rolling 12-month contract with no long-term commitment. The acquirer used this finding to negotiate a deferred consideration mechanism and an earn-out linked to customer diversification milestones.

Merger of two accounting firms — integration plan enabled a smooth first-year transition
Challenge
Two mid-sized accounting practices had agreed to merge. The transaction made commercial sense on paper, but both leadership teams had limited experience of integration and were uncertain how to manage the cultural and operational dimensions.
Approach
Jaya Advisory conducted an integration diagnostic with both leadership teams and developed a plan covering client communication, systems integration, staff alignment, service line rationalisation, and governance for the combined entity.
Outcome
The combined practice was fully integrated operationally within six months of completion. Client attrition was below 5% — significantly better than the 15–20% typically experienced in professional services mergers. Staff retention across both legacy firms exceeded 90%.
