Advisory Services
Three engagements.
One complete picture.
Jaya Advisory provides focused commercial advisory at the three stages where independent expertise matters most in a transaction.
Back to HomeOur Approach
Commercial advisory that works within your transaction.
Each Jaya Advisory engagement begins with a scoping conversation to understand the transaction, the client's specific questions, and the timeline available. This allows us to design an engagement that is both proportionate and effective — neither over-engineered nor insufficient.
Our advisory process is transparent: clients know what they will receive, when they will receive it, and what it will cost — before work begins.
Initial Scoping Conversation
We understand the transaction context, the client's priorities, and what the advisory should achieve.
Engagement Agreement
Scope, deliverables, timeline, and fixed fee agreed in writing before work begins.
Analysis and Advisory
Structured analysis of the target business, market, or integration challenge within the agreed timeline.
Delivery and Briefing
Written assessment delivered and key findings communicated directly to the leadership team.
Service 01
Commercial Due Diligence Support
An advisory engagement that provides an independent commercial perspective on a target business or asset during the due diligence phase. The review examines the commercial sustainability of the target's business model, the quality of its revenue, key customer and supplier relationships, competitive positioning, and the reasonableness of management's forward projections.
The consulting team works efficiently within deal timelines, delivering a clear written assessment and a briefing for the acquirer's leadership team. This engagement complements — but does not replace — financial and legal due diligence.
What We Examine
- Business model sustainability
- Revenue quality and concentration
- Customer and supplier relationships
- Competitive positioning
- Management projection credibility
Deliverables
- Written commercial assessment
- Leadership team briefing
- Key risk and opportunity summary
Service 02
Deal Structuring Advisory
An advisory engagement that supports acquirers or sellers in thinking through the commercial and structural dimensions of a transaction — including transaction structure options, consideration mechanics, risk allocation, and the commercial terms of key deal documents.
The consulting team works alongside legal counsel rather than in a legal advisory capacity, focusing on the commercial logic and business implications of structural choices. Particularly valuable for transactions where the commercial complexity is significant or where the client's internal team has limited prior M&A experience.
Advisory Scope
- Transaction structure options
- Consideration mechanics
- Commercial risk allocation
- Key deal document review (commercial)
How It Works
- Iterative advisory sessions
- Works alongside legal counsel
- Aligned to deal timeline
Service 03
Post-Merger Integration Planning
The period following a transaction's completion is often where value is created or lost. This engagement supports acquirers in developing a structured, practical integration plan that addresses the commercial, operational, organisational, and cultural dimensions of bringing two businesses together.
The process begins with a structured integration diagnostic, followed by collaborative planning sessions with the leadership teams of both organisations. An advisory support arrangement through the integration period is available as a continuation of this engagement.
What We Address
- Commercial integration priorities
- Operational alignment
- Organisational structure
- Cultural considerations
Deliverables
- Integration diagnostic
- Comprehensive integration plan
- Workstreams, ownership & governance
- Optional: ongoing advisory support

Across All Engagements
Professional standards we apply to every engagement.
Confidentiality
A confidentiality agreement is signed at the outset of every engagement. Transaction information is handled with appropriate discretion throughout.
Independence
Our conclusions reflect our honest commercial assessment. We have no financial interest in whether a transaction proceeds or at what price.
Written Clarity
Every engagement delivers a clear written document — designed to be read and used by the decision-makers it is intended for.
Timeline Commitment
Delivery timelines are agreed at the start and treated as commitments. We do not push timelines without a genuine reason and client discussion.
Senior Responsibility
A senior advisor takes personal responsibility for the quality and accuracy of each engagement deliverable.
PDPA Compliance
All personal data handled in connection with our engagements is managed in compliance with Malaysia's Personal Data Protection Act 2010.
